Company Secretary (Board)

Community Justice Services South Australia (CJSSA) is a charity registered with the Australian Charities and Not-for-profits Commission (ACNC) and a not-for-profit company limited by guarantee. CJSSA provides free legal assistance to disadvantaged and vulnerable clients residing in the Southern, Southeast and Riverland regions in South Australia.
#Summary of Duties and Responsibilities:
The Company Secretary works with the Chairperson and the Chief Executive Officer to support the work of the Board of Directors, particularly in relation to compliance with statutory and regulatory requirements and ensures that the decisions of the Board are accurately recorded and Board records are maintained.
#Governance and Administrative Support:
- Schedule and organise directors’ meetings, including assisting the Chairperson and CEO in preparing meeting agendas and other documents for the Board;
- Maintain the minutes and other records of general meetings, directors’ meetings and assist with Committee meetings as required; and
- Ensure Board documentation is maintained in an organised and secure manner.
#Compliance and Legal:
- Ensure CJSSA fulfils its reporting obligations to regulatory bodies including ACNC and ASIC; and
- Advise Board members on regulatory compliance matters.
#Membership and Events:
- Maintain the register of the Company’s members
- Assist in organising the Company’s Annual General Meeting
#Hours:
Average of 10 hours per week comprising of:
- Attendance at virtual Board meetings once per month for an average of two hours;
- Average of two hours per week for other tasks and duties; and
- Additional hours may be required from time to time during peak reporting periods.
#Selection Criteria:
Essential:
- Knowledge and understanding of ACNC and ASIC regulatory requirements, including the ACNC Governance Standards;
- Understanding of CJSSA Company Constitution;
- Experience with use of Microsoft Teams for meetings;
- Available outside business hours to attend monthly Board meetings (11 meetings per year);
- Attention to detail and reliably delivers to deadlines;
- Passion for access to justice for vulnerable people and for social justice;
- Highly developed written, oral and interpersonal skills;
- Self-directed, positive, and highly organised;
- No actual or perceived conflict of interest relating to CJSSA; -* Skilled in working with confidential information; and Current police check and DHS Working with Children Check.

#Note:
This is a voluntary position.
Most Board and Committee meetings are held via Microsoft Teams and up to two Board meetings per year may be held face to face as determined by the Board.
